How a foreigner open a company in Venezuela

Hi,

What is the requirement for a foreigner to open a company in Venezuela? Can I authorize my Venezuelan business partner to do it for me so that I dont have to travel to there?

Also do I get to have resident permission or business visa if I am an owner of a business in Venezuela?
